Other details: The company, which was in the business of selling & manufacturing steel framing, changed its name in 2000. In court on 13 December, Associate Judge Sargisson wanted the proposed liquidators to provide a certificate saying they weren’t disqualified from acting, rather than confirming the same. “I don’t want to be responsible for a liquidation where the appointment is subsequently challenged,” she said. AMP’s lawyer, Daniel Vizor, said the application was on the just & equitable basis. The company wasn’t trading and had no assets and AMP’s complaint was that the assets were sold at an undervalue in 2003. The company’s sole director also agreed it was appropriate for the company to be liquidated. Mr Vizor said a trust & debentureholders acquired the company’s assets for $3.5 million. Valuation evidence was that those assets were worth $US8.6 million ($NZ14.7 million).

Strike-off problems

 

Associate Judge John Faire had 4 applications before him today to wind up companies which had been struck off the register – now a complication in the liquidations procedure. One, D Bell Insurance Ltd, was wound up and Inland Revenue withdrew the other 3 applications after going through the process of having them restored to the register (then nullifying that action).

 

Its applications to wind up Alps Co Ltd, SSS Marketing Ltd & Tasi Co Ltd were advertised with notice of a first call in September, but the court registry then issued a minute changing the date of the call to the intended hearing date in August. Associate Judge Faire directed reservice & readvertising in all cases.

 

The exercise became more complicated when a change of law meant companies that had been struck off the register had to be restored to it before liquidation could proceed. Adding to the complication, associate judges questioned whether liquidation proceedings begun when a company was struck off could proceed (under the newly written rules) as the company was deemed not to exist.

 

Inland Revenue lawyers then cited section 330 of the Companies Act, which deemed such companies to have existed (retrospectively – the law, an ass, can be made to do anything). Associate Judge John Faire was hoping to hear the issue argued today, but as 3 of the Inland Revenue applications were withdrawn – like several others since the legal complications were introduced for struck-off companies – only one was left to argue about. In that case, Inland Revenue counsel Tom Molloy cited section 330 and the judge accepted the procedure was legitimate.
